Generalist lawyer with knowledge of commercial and corporate law and, in particular, experience in M&A transactions (investment agreements, share/asset purchase transactions, shareholders’ agreements or joint venture agreements) and/or corporate restructuring transactions (mergers, demergers/spin-offs, etc.), with experience in law firms or in-house legal departments.
FUNCTIONS:
Within the Legal Department, the role will provide ongoing in-house corporate legal support at both domestic and international level, advising Group companies and business stakeholders.
Key responsibilities
Domestic and international corporate law
* Provide day-to-day advice on corporate governance, incorporation and ongoing management of Group entities across multiple jurisdictions, including responding to routine legal queries.
* Draft, review and manage corporate documentation, including articles of assotiation/bylaws, board and shareholder minutes and resolutions, powers of attorney, certificates and all documentation supporting the end-to-end corporate lifecycle.
* Coordinate and oversee the work of local counsel (internal and external) in relevant jurisdictions.
* Support the management of the Group’s global corporate housekeeping, ensuring consistency, compliance and alignment with internal standards by using AI tools.
M&A / Transactions
* Identify key legal risks and support the legal structuring of international transactions.
* Coordinate with external local counsel throughout transaction processes.
* Lead and/or coordinate legal due diligence.
* Draft and negotiate transaction documentation, including SPAs, SHAs, NDAs, LOIs and other related agreements.
* Support closing and post-closing execution, including completion mechanics and follow-up obligations.
Internal coordination and projects
* Work cross-functionally with Finance, Tax, HR and Business teams on corporate projects, providing practical legal guidance.
* Assess, interpret and clearly communicate risks, obligations and legal options to support decision-making.
* Contribute to global initiatives to standardize and improve legal processes, templates and ways of working.
Experience: 2 to 5 years of experience in a Legal Department within an IT and/or services company with an international presence, in a similar role, or at a well-regarded law firm, with demonstrable/proven experience.
Technical Skills: Double Degree in Business Administration/Law, or Law Degree with a Master’s in In-House Legal Advisory and/or an Expert Certification in M&A Transactions.
Functional Skills:
* AI FIRST MINDSET AND ADVANCED KNOWLEDGE OF THE USE OF AI applied to the legal function. Knowledge of the fundamentals of the main LLMs and sound judgment on how to apply AI responsibly. Knowledge of the use of ELM, CLM and legal research tools will be valued.
* Internal client satisfaction orientation.
* Ability to work as part of a team. • Communication skills. Ease of collaborating with other areas. • Organized, methodical and structured.
