What role will you play?
Your job will be very diverse and interesting and offers the opportunity to get an excellent overview of what Siemens does as well as gaining experience and valuable legal knowledge. You will support the legal area of Corporate and M&A in alignment with the respective areas and colleagues within Siemens Spain and at Headquarters level. Legal support includes legal advice on corporate and M&A law, including reviewing, drafting and negotiating contracts, preparing legal risk analyses, internal approval processes, participation in due diligence processes, mergers, spin-offs and other M&A transactions, contact with Notaries and Commercial Registers, alignment with external auditors, Powers of Attorney, search and analysis of case law, following up and analysis of new regulations, governance legal matters, Corporate Defense matters, legalization of corporate books, board of directors and shareholders meetings.
Main responsibilities and tasks:
1. Applying entrepreneurial and legal view point in order to mitigate risks and to realize opportunities which otherwise may have been missed.
2. Legal support to and drafting legal documents related to Board of Directors, Shareholders Meetings and other governance bodies. Preparation of the corresponding decisions and taking care of their notarization and registration.
3. Corporate Defense matters
4. Coordination with external auditors for the preparation and approval of the financial statements.
5. Legal support on any kind of M&A transactions and Corporate projects (carve-outs, mergers, spin-offs, asset transfers, share transfers, etc.). Participation in data rooms, due diligences and negotiations. Drafting and reviewing contracts.
6. Counselling Business Partners in assigned areas, gathering the facts and providing appropriate advice. Assuming responsibility in order to contribute to the success of the business.
7. Internal knowledge sharing and training. Share legal knowledge within the Legal Department and other areas.
8. Being up – to - date on new regulations affecting the Company and making the correspondence analysis.
9. Reporting In cooperation with Legal Specialists (where appropriate), as file reports on material legal risks and proceedings by - collecting, summarizing and updating data - using IT-Tools and experience in risk evaluation.

Of course, must meet some other requirements:
17. Law degree on a Spanish University.
18. Duly qualified to provide Legal advice as a Spanish lawyer in accordance with the correspondent Bar Association.
19. Perfect knowledge of Spanish language.
20. Fluency in written and spoken English is a must (including ability to draft and negotiate contracts). Mastered at a C1 level.
21. Three years of experience working in corporate and/or M&A law practice, as in-house lawyer or as external Lawyer.
