PbRole Summary /b /ppbHenko Partners seeks an MA Manager to scale a new buy build platform in industrial technical services. This is a high-growth, setup and scale role, working closely with the incoming CEO and CFO of the platform company, in direct coordination with Henko. /b /ppbr/ppbThe platform targets a highly fragmented sector with significant white space for consolidation. The MA Manager will lead the full acquisition cycle, from target identification and financial analysis through to negotiation, closing, and initial integration. The role works cross-functionally across operations, finance, and legal, and is the primary owner of the buy build execution engine. /b /ppbr/ppbThe role is based in Spain and requires regular travel availability. /b /ppbr/ppbResponsibilities /b /pp– Lead the inorganic growth strategy of the platform, in line with the consolidation plan approved by the Board and in coordination with the CEO, CFO and Henko /pp– Identify, assess, and prioritise acquisition opportunities across the target sector, building direct relationships with potential targets and specialist advisors /pp– Execute end-to-end MA processes, including financial analysis, modelling, valuation, and preparation of Investment Memoranda for Board and, where applicable, Henko’s Investment Committee approval /pp– Coordinate due diligence processes across all workstreams (financial, legal, tax, operational, ESG), with particular focus on recurring revenue quality and revenue recognition policies /pp– Design and lead the financial structuring of transactions, evaluating financing instruments and coordinating with lenders and advisors /pp– Negotiate and close purchase agreements (SPA), shareholder agreements (SHA), and other relevant transaction documentation, in coordination with legal and financial advisors /pp– Support the design and execution of post-acquisition integration plans, with a focus on capturing operational, commercial, and administrative synergies /pp– Support the standardisation of key processes across the platform, including reporting systems, management tools, and service contract management platforms /pp– Develop and monitor KPIs tracking integration success, synergy capture, and performance of acquired businesses /pp– Prepare presentation materials for the Board, investors, and lenders, including return analysis, capital structure updates, and acquisition tracking /ppbr/ppbRequirements /b /ppbExperience Qualifications /b /pp– 5–8 years of relevant professional experience in MA, investment banking, private equity, or corporate development, ideally in mid-market /pp– Demonstrated end-to-end MA experience, including financial modelling, valuation, materials preparation, due diligence leadership, financing, and legal negotiation /pp– Familiarity with buy build deal structures: vendor loans, earn-outs, deferred consideration, and price adjustment mechanisms /pp– Strong analytical and communication skills, with the ability to prepare high-quality materials for CEO, CFO, and Board audiences /pp– Advanced proficiency in Excel and PowerPoint /pp– Fluency in both English and Spanish is required /pp– Experience in post-acquisition integration or buy build platforms in industrial services, technical services, or sectors with a strong recurring maintenance component is a plus /pp– Knowledge of or interest in the Spanish installation and maintenance sector is a plus /ppbr/ppbEducational background /b /pp– University degree in Business Administration, Accounting, Economics, Industrial Engineering, or a related discipline /ppbr/ppbCompetencies /b /pp– Leadership and ability to make decisions and act in ambiguous situations /pp– Proactivity, initiative, ownership mindset, and drive to deliver on commitments /pp– Agility and pragmatism, with the ability to manage multiple processes simultaneously /pp– Structured thinking, strong analytical skills, and high attention to detail /pp– Results orientation /pp– Excellent communication skills, able to convey complex analysis clearly and concisely to senior audiences /pp– Collaborative, able to work effectively across functions and organisational levels, both internally and externally /ppbr/ppbHow to Apply /b /pullibIf you believe you are the right fit for this position, we would love to get to know you better.
