Job Description
Support the evaluation and execution of Joint Venture (JV) and M&A opportunities by owning the business plan and financial modeling for each case. Deliver robust analysis, scenario modeling and clear presentations that enable decision-making and value creation, coordinating with finance, strategy, operations, product teams and supporting day‑one readiness and performance tracking under the guidance of the Head of JV Development.
Responsibilities
- Pre‑deal signing: Support Head of JV development in business planning, synergy identification and quantification, commercial agreement & TOM definition, day 1 integration preparation and coordination with the M&A team.
- Post‑deal signing: Support coordination of day‑1 integration with central teams and definition & implementation of a value‑creation plan (6‑month plan for small deals such as Civitfun, 18+ months for complex deals).
Required Skills
- Business Plan & Value Creation: Advanced ability to build, challenge, and deliver business plans for JV/M&A, including synergy identification and robust financial modeling.
- Advanced Excel & Financial Modeling: Expert use of formulas, pivot tables, Power Query, scenario/sensitivity analysis; DCF; cash flow/NPV; synergy and KPI trackers.
- Target Operating Model (TOM) Design: Proven experience designing and implementing TOMs for new ventures, ensuring fit with a verticalized organization and seamless integration.
- Cross‑Functional Leadership: Ability to coordinate and influence Legal, Tax, Finance, M&A, and operational teams to deliver integrated solutions.
- Strategic & Analytical Thinking: Assess strategic fit, evaluate market opportunities, and translate insights into actionable recommendations.
- Conceptual Problem Solving: Structure and solve complex challenges such as commercial partnership & target operating models.
- Analytical Problem Solving: Apply data‑driven approaches to break down complex business challenges, identify root causes, and quantify impact.
- Financial Acumen: Mastery of financial analysis, valuation techniques, and scenario modeling to support investment decisions and track performance.
- Communication & Executive Presence: Distill complex issues into clear, compelling presentations and recommendations for executive audiences.
- Results Orientation: Deliver measurable outcomes, capture synergies, and drive continuous improvement.
- Negotiation & Conflict Resolution: Align diverse interests and resolve challenges in multi‑party JV/M&A settings.
- Cultural Agility: Adapt approaches to different business contexts and partners in multicultural, cross‑border environments.
- Project Management: Lead and coordinate cross‑functional projects in JV, ensuring effective planning, execution, and delivery within scope, time, and budget.
- Coaching and Leadership: Delegate, train, and motivate team members to foster development and high performance.
- Interpersonal Skills: Build strong relationships and communicate effectively with stakeholders at all levels, adapting style to audience and context.
Experience
- Minimum of 3 years managing strategy & transformation projects at an integral organization or in a top‑tier strategy consulting firm, with direct involvement in at least 3 JV/M&A transactions (including both commercial due diligence and post‑merger integration).
- Involvement in the design of Target Operating Models (TOM), value‑creation plans, or post‑merger integration workstreams is highly valued.
