Henko Partners seeks an M&A Manager to scale a new buy & build platform in industrial technical services. This is a high-growth, setup and scale role, working closely with the incoming CEO and CFO of the platform company, in direct coordination with Henko.
The M&A Manager will lead the full acquisition cycle, from target identification and financial analysis through to negotiation, closing, and initial integration. The role works cross-functionally across operations, finance, and legal, and is the primary owner of the buy & build execution engine.
Identify, assess, and prioritise acquisition opportunities across the target sector, building direct relationships with potential targets and specialist advisors– Execute end-to-end M&A processes, including financial analysis, modelling, valuation, and preparation of Investment Memoranda for Board and, where applicable, Henko's Investment Committee approval– Coordinate due diligence processes across all workstreams (financial, legal, tax, operational, ESG), with particular focus on recurring revenue quality and revenue recognition policies– Design and lead the financial structuring of transactions, evaluating financing instruments and coordinating with lenders and advisors– Negotiate and close purchase agreements (SPA), shareholder agreements (SHA), and other relevant transaction documentation, in coordination with legal and financial advisors– Support the design and execution of post-acquisition integration plans, with a focus on capturing operational, commercial, and administrative synergies– Support the standardisation of key processes across the platform, including reporting systems, management tools, and service contract management platforms– Develop and monitor KPIs tracking integration success, synergy capture, and performance of acquired businesses– Prepare presentation materials for the Board, investors, and lenders, including return analysis, capital structure updates, and acquisition tracking
5–8 years of relevant professional experience in M&A, investment banking, private equity, or corporate development, ideally in mid-market– Demonstrated end-to-end M&A experience, including financial modelling, valuation, materials preparation, due diligence leadership, financing, and legal negotiation– Strong analytical and communication skills, with the ability to prepare high-quality materials for CEO, CFO, and Board audiences– Advanced proficiency in Excel and PowerPoint– Fluency in both English and Spanish is required– Experience in post-acquisition integration or buy & build platforms in industrial services, technical services, or sectors with a strong recurring maintenance component is a plus– Knowledge of or interest in the Spanish installation and maintenance sector is a plus
University degree in Business Administration, Accounting, Economics, Industrial Engineering, or a related discipline
