Reporting to the AXA International Markets General Counsel the successful candidate will join the dynamic legal team for AXA International Markets. The role involves providing strategic legal advice and support across various business units and jurisdictions spread over four continents. Whilst the focus of the work will be on corporate law, including M&A and corporate governance, the candidate will need to provide legal support in several other areas and will need to be ready to assist on a wide variety of topics as business and legal needs demand from time to time.
Main responsibilities:
Provide comprehensive legal advice and support, with a strong emphasis on corporate matters such as transactions including M&A, partnerships and joint ventures and corporate governance
Drafting and reviewing commercial contracts
Collaborate with internal stakeholders, including senior management and finance teams, on various legal issues at shareholder and entity level
Provide legal advice and co-ordinate relevant legal files to countries under AXA International Markets scope
Assist in the management of disputes and litigation
Reporting to AXA Group legal department when necessary, in particular on material litigations and corporate governance
Offer general legal support across other areas as required, demonstrating adaptability and a willingness to engage in diverse legal and business matters as they arise
Support training and development initiatives for staff on legal matters
Background and Experience:
Qualified lawyer with 5 years of experience in an international law firm or large financial institution
Experience in Corporate and Commercial Law
Experience in Mergers & Acquisitions in an international context
Technical and professional skills:
Spanish qualified Corporate/Commercial lawyer of approx. 5 years of experience, registered as practicing with a Bar Association (although British and French qualified lawyers may also be considered)
Having experience in a insurance/financial institution will be a plus but is not essential
Knowledge of M&A
Time management skills and ability to meet challenging deadlines
Excellent skills in drafting and reporting
Fluent in English with any additional language being a plus, especially Spanish and French
Relational skills:
Excellent interpersonal and negotiation skills
Discrete and reliable. It ́s a must to maintain strict confidentiality regarding a wide spread of issues
Results orientation - resilient, persistent and highly target oriented
Capacity to work transversally with different areas and profiles, being able to facilitate and coordinate whenever is needed
Capacity to work with various stakeholders in different jurisdictions and technical areas (finance, operations, risk management, compliance, etc.)
Ability to travel with short notice
