Corporate Counsel
Plug and Play is seeking a Corporate Counsel for its legal department with 2‐4 years of experience at a top law firm, preferably in the emerging companies & venture capital practice. This Corporate Counsel will gain valuable experience collaborating with industry professionals and executing Plug and Play investments into cutting‐edge startups across the world.
Responsibilities
Own every aspect of the legal due diligence process for venture‐led/Plug and Play investments, analyzing legal risks and providing recommendations to Plug and Play's investment team
Draft, review, negotiate, and summarize key terms of sophisticated venture capital financing documents, including investment agreements, pro forma cap tables, merger agreements, and other transactional documents
Facilitate clear and consistent communication with startup founders, attorneys, and Plug and Play's investment team
Maintain accurate and up‐to‐date portfolio data and legal documentation through regular contact with our portfolio companies
Attend Expos, Demo Days, and other exclusive Plug and Play events
Perform all general office/administrative duties that are required for this position
Manage and oversee corporate governance and legal entities' affairs by supervising and coordinating external counsel for various international entities; this includes drafting and reviewing corporate resolutions and board minutes, and overseeing the maintenance of official corporate books and filings
Review and negotiate a wide range of commercial contracts, such as service agreements, partnership deals, NDAs, and licensing agreements
As knowledge and experience increases, take ownership of new and different projects including assisting with the fundraising process of Plug and Play's international venture capital funds, conduct internal training sessions and workshops to educate stakeholders on legal matters, and lead on initiatives to improve cross‐functional processes
Qualifications
Degree in Law, degrees in Economics, Finance, or a business‐related field is highly valued, but not required
Excellent written and verbal communication skills in English with the ability to understand and synthesize complex ideas. Proficiency in any other language is considered a plus
Proven experience in drafting and negotiating complex legal agreements related to venture capital investments
Self‐starter who seeks out new challenges
Experience with Excel functions and/or proficient quantitative ability
