About This Role
As a Paralegal specializing in Corporate Governance and Entity Management within the Legal Department, your role will support Ria and XE companies globally. Responsibilities include preparing meeting materials, resolutions, consents, committee charters, minutes, and conducting relevant research. You will apply and promote corporate governance best practices and stay updated on developments.
Roles & Responsibilities
* Prepare and maintain board, committee, and shareholder meeting materials, minutes, certifications, proxies, powers of attorney, incorporation documents, dividend and capital management documents, and manage changes such as director/officer appointments and removals. Assist international teams to ensure compliance with legal standards. Manage a calendar of meetings and respond proactively to extraordinary requests.
* Maintain legal entity management processes and systems, including global organizational and entity databases.
* Prepare regulatory filings related to corporate governance and business operations involving international subsidiaries.
* Assist with corporate reorganizations, including the incorporation of new entities and dissolution of branches or subsidiaries, coordinating with senior stakeholders across departments.
* Execute special projects related to corporate and governance matters, including working outside normal hours due to time zone differences or workload demands.
Position Requirements
* Minimum of 3 years experience as a paralegal in a law firm or in-house, preferably with international exposure.
* Experience in corporate governance, entity management, and secretarial duties within complex international organizational structures is highly preferred.
* Excellent legal writing, editing, and communication skills in English and Spanish; C1 English proficiency.
* Ability to work in a fast-paced environment, managing multiple projects and deadlines effectively.
* Willingness to learn new areas, acquire skills, and take on additional responsibilities.
* Strong collaboration skills and ability to build relationships within a large organization.
* Maintain high standards of professionalism, integrity, discretion, and confidentiality.
* A law degree is preferred but not mandatory if extensive corporate legal experience is demonstrated.
