As a Paralegal Corporate Governance and Entity Management, in the Legal Department, your role will be to provide support for Ria and XE worldwide companies in board of directors and board committees, including preparation of meeting materials, resolutions and consents, committee charters, minutes, and relevant research. Preparing and maintaining board, board committee and shareholder meeting materials, minutes and papers, certifications, proxies, powers of attorney, incorporation documents, dividend and capital management matters, name changes, appointment and removal of directors and officers, and assisting international regional and local teams on execution consistent with legal requirements and best practices. Maintain legal entity management processes and systems, including general organizational, and entity management data base.. - Prepare regulatory filings for company corporate governance matters, and various business operations involving international subsidiaries and operations. - Assist in with corporate reorganizations and integrations, incorporation of new entities and dissolution of targeted branches/subsidiaries, coordinating closely on execution with senior stakeholders in Finance, Tax, Treasury, Legal & Compliance, and others across the business. -Execute special corporate and governance projects and perform other duties as requested. Special projects may demand time outside the normal workday due to different time zones or workload.
Paralegal with a minimum of 3 three years of law firm or in-house international experience. - Corporate governance, entity management, and corporate secretarial international experience, dealing with complex international organizational structures is strongly preferred. - Excellent legal writing, editing and oral communication skills (English and Spanish), with keen attention to detail.
C1 English Level
. - Flexibility and ability to work in a fast-paced environment and manage multiple projects simultaneously while prioritizing responsibilities and various deadlines - Law Degree is recommended but not necessary if high experience in corporate legal.
