Reporting to the VP Legal, you will work closely with cross-functional teams across the company, providing practical, business-oriented legal advice in a fast-paced and innovative environment. /ppSemidynamics is currently executing a Series A round and a parallel venture debt process. Legal plays a central role in both, alongside ongoing work on commercial contracts, intellectual property, export compliance, and corporate matters. You will partner with the VP Legal on the full range, with autonomy to own significant matters end to end. /ppThis is a hands-on role for someone who brings a digital mindset, enjoys ownership, and is comfortable using AI tools to scale their own productivity in a fast-paced, scale-up environment. /p pbKey Responsibilities /b /ppbr/ppbCorporate /b /pulliPrepare legal communications and documentation, including powers of attorney, share transfers, agreements, and other corporate documents. /liliSupport corporate restructuring, board meetings, and shareholder resolutions. /liliCoordinate with notaries, the Registro Mercantil, and external counsel on corporate filings. /li /ulpbr/ppbContracting /b /pulliDraft, review, and negotiate a wide variety of agreements, including NDAs, MOUs, LOIs, commercial agreements, services agreements, and supplier contracts. /liliMaintain legal documentation and ensure accurate record-keeping and contract management. /liliStandardize contract templates and build a central contract repository. /li /ulpbr/ppbIntellectual Property /b /pulliManage intellectual property matters, including coordinating patent and trademark registrations with external counsel. /liliSupport contracting and review on IP-sensitive agreements (licensing, collaborations, evaluation agreements). /liliMaintain the IP portfolio across patents, trademarks, and trade secrets. /li /ulpbr/ppbExport Control and Sanctions /b /pulliProvide guidance on sanctions and export control, ensuring alignment with EU, US, and other applicable international regulatory regimes. /liliBuild and maintain the export classification framework for products and customers. /liliCoordinate with the technical and commercial teams on classification of new products. /li /ulpbCompliance /b /pulliEnsure that the Code of Conduct and global policy framework remain up to date, well communicated, and effectively implemented. /liliMonitor legal and regulatory developments (data privacy and GDPR, AI Act, sanctions and export control) and initiate updates as needed. /liliCoordinate compliance training across the organization. /li /ulpbr/ppbLegal Support and Guidance /b /pulliProvide legal support to cross-functional teams (Sales, HR, Operations, Marketing, Engineering, Finance), delivering clear and business-focused legal guidance. /liliIdentify and manage legal risks, offering practical and business-oriented solutions. /li /ulpbr/ppbDigital Tools and Automation /b /pulliUse AI tools, including a corporate Claude account, to automate recurring legal workflows (contract review, NDA drafting, document classification, legal research). /liliIdentify, pilot, and roll out additional legal AI tools to scale the function efficiently. /liliDevelop, improve, and maintain internal legal processes, policies, and documentation, including contract templates, internal policies, checklists, and legal tools. /li /ulpbr/ppbRequirements /b /ppbr/ppbMust-Have /b /pulliMaster's degree in Law (Spanish or equivalent). /liliThree to five years of post-qualification experience (PQE) at a mid-tier or top-tier law firm or in-house legal department. /liliProven experience in drafting and negotiating complex commercial agreements. /liliNative Spanish or Catalan proficiency, plus Business English at C1 level (written and spoken).
