We are looking for a highly motivated and business-oriented Corporate & Commercial Legal Counsel – Renewable Energy to support our renewable energy business in Madrid, Spain.

This role is ideal for a legal professional who enjoys working in multidisciplinary environments and has experience supporting renewable energy, infrastructure, construction, or other project-driven businesses.
You will have the opportunity to work across the full lifecycle of solar energy projects, from development and financing to construction, operation, and energy commercialization.
Reporting directly to the CEO and CFO, you will act as the primary in-house legal advisor for the Spanish business, working closely with the Commercial Director, Head of Project Finance, Technical Team, and external legal advisors.
The role offers broad exposure to corporate, commercial, project, financing, compliance, and governance matters, while providing direct involvement in strategic business decisions.
Key responsibilities Act as the primary point of contact for all day-to-day legal matters across the Spanish business, identifying legal risks and proposing practical business-oriented solutions.
Draft, review, negotiate and support the execution of a broad range of agreements including Solar PV self-consumption and merchant project agreements, land and rooftop leases, land purchase agreements, PPAs, EPC contracts, SPAs, NDAs, co-development agreements, LOIs, project finance documentation and other commercial arrangements.
Support the negotiation and execution of energy supply agreements, onsite and virtual/financial PPAs, market representation agreements, and other contracts used within the energy supply and trading sector.
Prepare internal legal memoranda, legal opinions, board materials, and regulatory compliance reports.
Support corporate transactions, acquisitions, restructurings, and day-to-day corporate governance activities.
Support and coordinate the legal aspects of project and corporate transactions, including M&A, fundraising activities, and SPV management, working closely with management and external advisors to support the company's growth strategy and investment activities.
Manage contract lifecycle processes and maintain contractual documentation and records.
Provide legal support on corporate compliance matters and internal policies.
Prepare and coordinate shareholder agreements, shareholder and board resolutions, powers of attorney, amendments to bylaws, director appointments and removals, and other corporate documentation.
Coordinate and manage external legal advisors, notaries, and registries, ensuring efficient and cost-effective delivery of specialist legal support when required.
Collaborate closely with internal stakeholders to deliver commercially sound and pragmatic legal solutions.
Provide guidance on employment law matters and support HR-related legal issues when required.
What we are looking for Bachelor's degree in Spanish Law.
A Master's degree in Business Law, Business Administration, Economics, or a related field will be considered an advantage.
5–10 years of relevant experience in corporate and commercial law, gained either in a law firm or as in-house counsel within an international organization.
Experience in renewable energy, infrastructure, construction, or other project-based industries is highly preferred.
Knowledge of energy commercialization, PPAs, and electricity markets is considered a strong advantage.
Strong understanding of Spanish corporate, commercial, and contract law.
Excellent drafting, negotiation, and communication skills.
Highly organized, detail-oriented, analytical, and proactive, with a solution-driven mindset.
Ability to work autonomously, prioritize effectively, and manage multiple matters simultaneously.
Hands-on mentality and willingness to take ownership of both strategic and operational legal matters.
Working knowledge of Spanish employment law and the ability to coordinate with external specialists when required.
Professional fluency in Spanish and English.
